Lead Savage, LLC
Effective Date: October 17, 2026
These Terms of Service ("Terms") are a binding legal agreement between Lead Savage, LLC ("Lead Savage," "we," "us," or "our") and you, the individual or entity subscribing to or using our Services ("you," "Client," or "your"). By purchasing, accessing, or using any of our Services, or by accepting these Terms at checkout or during onboarding, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Service area. Lead Savage offers and provides the Services to businesses located in the United States and Canada only. By using the Services you represent that you and the individuals whose data you process through the Platform are located in the United States or Canada.
IMPORTANT: These Terms include a binding arbitration agreement and a class action waiver in Section 24. Please read them carefully. You have a 30-day right to opt out of arbitration as described in that Section.

2. Eligibility and Account
You must be at least 18 years old, legally able to enter into a binding contract, located in the United States or Canada, and acting on behalf of a lawful business to use the Services. You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your Account, including activity by your employees, contractors, authorized users, and any of your own downstream clients to whom you provide access.
2.1 Login Credentials and Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to enable and maintain the security measures available through the Platform, including two-factor authentication where offered, and to notify Lead Savage immediately of any unauthorized access to or use of your Account or any other breach of security. Lead Savage is not liable for any loss, damage, or liability arising from unauthorized access to your Account that results from your failure, or the failure of your users, to maintain credential confidentiality or to implement available security measures. Lead Savage may disable your credentials at any time if it reasonably believes you have violated these Terms.
2.2 Account Ownership Disputes. The Account owner is the individual or business entity that subscribed to the Services and is responsible for the Account's Fees. If Lead Savage receives competing claims of ownership or control over an Account, Lead Savage is not obligated to act as an arbiter of the dispute. Lead Savage may, in its sole discretion, request documentation to determine the rightful owner, and may consider factors including which party has paid the Fees, which party created the Account, verifiable business-ownership documentation, a court order, or any other evidence Lead Savage deems relevant. Lead Savage may disregard documentation it believes to be fraudulent or unreliable. Lead Savage's determination is final. If a rightful owner cannot reasonably be determined, Lead Savage may suspend the Account until the parties reach a written agreement or a court of competent jurisdiction issues a resolving order. You agree to defend, indemnify, and hold Lead Savage harmless from any claims, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Lead Savage's handling of any ownership dispute, and you waive any claims against Lead Savage arising from its resolution of such disputes.
3. Services and Our Role
Lead Savage is an independent SaaS agency. We license and resell a white-labeled environment provided by the Underlying Platform Provider and we add our own intellectual property, configurations, and services on top of it. We are not GoHighLevel, and GoHighLevel is not a party to these Terms.
The exact features and services available to you depend on your Subscription plan, order form, or DFY engagement. We may add, modify, or discontinue features from time to time. We will not materially reduce the core functionality of your Subscription without notice. Certain features depend on the Underlying Platform Provider and other third parties, and are subject to Section 15.
4. Subscription and Pricing
Your Subscription plan, plan fee, and any included allowances are as presented to you at checkout, in your order form, or as posted on the Platform. Subscriptions may be offered month-to-month or on a prepaid multi-month commitment as described at the point of sale. There is no setup fee.
Pricing is subject to change. We will give you at least thirty (30) days' notice of any increase to your recurring Subscription fee, which will take effect at the start of your next billing cycle following the notice period. Notice may be given by email to the address on your Account or by posting in the Platform.
5. Billing, Auto-Renewal, and Payment
Advance billing. Subscription fees are billed in advance of each service period. DFY Services are billed as described in Section 10A.
Auto-renewal. Your Subscription automatically renews at the then-current rate at the end of each billing cycle until you cancel under Section 12.
Payment method. By providing a payment method, you authorize us to charge it for all amounts due, including Subscription fees, DFY Services fees, Usage-Based Charges, wallet top-ups (Section 6), and applicable taxes.
Accurate information. You agree to keep your billing information current and to update it within a reasonable time after any change.
Taxes. All fees are exclusive of taxes. You are responsible for any sales, use, communications, or similar taxes, other than taxes on our income.
6. Usage-Based Charges, Digital Wallet, and Auto-Top-Up
Rebilled usage. In addition to your Subscription fee, you incur Usage-Based Charges for communications and AI features that Lead Savage resells and rebills to you, including without limitation phone numbers, SMS/MMS messaging, voice calling, and artificial intelligence or large language model token consumption. These services are provided through the Underlying Platform Provider's LC Phone and LC Email services (and comparable services) and are rebilled to you by Lead Savage. Current rates are as posted on the Platform or in your order form.
You alone bear these charges. You are solely responsible for all Usage-Based Charges incurred on or through your Account, including charges generated by your employees, contractors, authorized users, automations you configure, and any downstream clients to whom you provide access. Lead Savage is not liable for, and does not bear, any Usage-Based Charges attributable to your Account. If you provide Platform access to your own clients, you remain solely responsible to Lead Savage for all charges on your Account; your arrangements to recover those costs from your own clients are solely between you and them.
Digital wallet. You maintain a prepaid wallet balance for Usage-Based Charges. Usage is drawn down against your wallet balance as it is incurred.
Auto-top-up. When your wallet balance falls below your selected threshold, you authorize Lead Savage to automatically charge your payment method to refill the wallet according to your selected top-up settings. You are responsible for monitoring your wallet balance and maintaining sufficient funds and a valid payment method. If your wallet is depleted and cannot be topped up, communications and other usage-dependent features may be interrupted until the wallet is funded.
Rate changes. Usage rates are subject to change with at least thirty (30) days' notice, given by email or by posting in the Platform. Wallet balances are applied to usage at the rates in effect when the usage is incurred.
Fair Use and Excessive Usage. Ordinary usage of the Services is billed through your wallet as described above. However, if Lead Savage determines, in its reasonable discretion, that your usage is excessive, abusive, fraudulent, materially degrades the performance or availability of the Services for other clients, or violates carrier, messaging, or underlying-platform requirements, Lead Savage may throttle, suspend, or limit the affected usage, or require you to upgrade your plan, with or without advance notice. Lead Savage has no liability for any effect your excessive or abusive usage may have on the Services.
7. No Refund Policy
Except where required by applicable law, all payments to Lead Savage are final and non-refundable, including Subscription fees, DFY Services fees, Usage-Based Charges, wallet balances and top-ups, and prepaid commitments. Unused wallet balances are non-refundable. You acknowledge that the Services are provisioned and initiated promptly upon payment and that DFY Services are custom work begun promptly upon receipt of your onboarding information.
8. Chargebacks
You agree to contact us to resolve any billing concern before initiating a chargeback or payment dispute for Services rendered. Filing a chargeback for validly rendered Services is a material breach of these Terms. In response we may (a) submit evidence of your acceptance of these Terms, Platform usage, and delivery; (b) suspend or terminate your Account; and (c) pursue recovery of the disputed amount plus reasonable associated legal, collection, and administrative costs.
9. Promotions
We may offer discounts or promotional pricing from time to time. Promotional pricing applies for the stated period and reverts to standard pricing thereafter. Discounts do not modify any other term of these Terms.
10. Onboarding and Service Delivery
Standard build and onboarding timelines are as described at the point of sale or in your order form and begin after we receive your completed onboarding information. Services are considered delivered once your Platform environment and any contracted build have been made available to you; DFY Services delivery and acceptance are governed by Section 10A. Onboarding support may be provided but is not a prerequisite to fulfillment.
10A. Done-For-You Services
10A.1 Scope. DFY Services are the specific build, setup, configuration, design, and related project work described in your order form, proposal, statement of work, or checkout page (the "DFY Scope"). DFY Services may be sold bundled with a Subscription or purchased as a standalone engagement. Work outside the DFY Scope is not included and, if requested, may be quoted and billed separately. Our services may evolve during an engagement based on best practices, platform changes, and identified opportunities; material changes to scope will be handled as described in 10A.4.
10A.2 Your responsibilities. Timely delivery of DFY Services depends on your cooperation. You agree to: (a) designate a primary point of contact with authority to give approvals; (b) provide the information, assets, access, and content we reasonably request promptly; and (c) respond to our requests within a reasonable time. If your delay, non-response, or failure to provide required materials affects the schedule, timelines shift accordingly without penalty or liability to Lead Savage, and such delay does not entitle you to any refund or credit.
10A.3 Delivery and acceptance. When we complete the DFY Scope, we will make the work available to you and request your sign-off. The DFY Services are deemed delivered and complete upon your approval. If you do not provide approval or identify, in writing, specific items that are outside the DFY Scope or not yet completed within five (5) business days after we request sign-off, the DFY Services are deemed accepted and complete. Deemed acceptance has the same effect as your express approval.
10A.4 Revisions. Unless your order form states otherwise, the DFY Scope includes two (2) rounds of revisions to bring the work in line with the agreed DFY Scope. Revisions must be requested within the sign-off period in 10A.3. Additional revision rounds, or changes that expand or alter the DFY Scope, are billable at our then-current rates or as quoted, and may extend the timeline.
10A.5 Ownership of Done-For-You (DFY) Deliverables
(a) Lead Savage Intellectual Property. All proprietary systems, methodologies, templates, snapshots, workflows, automations, AI configurations, software configurations, processes, frameworks, and reusable components developed, created, configured, or provided by Lead Savage in connection with Done-For-You (DFY) services shall remain the exclusive property of Lead Savage or its applicable licensors, except as expressly agreed otherwise in writing. This includes Lead Savage-owned components developed specifically for a Client, as well as components used across multiple Client accounts. Payment for DFY services constitutes payment for the services performed and the associated usage rights, not the purchase or transfer of ownership of Lead Savage Intellectual Property.
(b) Client-Owned Materials. The Client retains ownership of all materials and intellectual property they provide to Lead Savage, including logos, trademarks, photographs, written content, business information, and customer data. The Client grants Lead Savage a limited license to use these materials as reasonably necessary to deliver the contracted services.
(c) License to Use DFY Deliverables. Subject to payment of all applicable fees and compliance with these Terms, Lead Savage grants the Client a limited, non-exclusive, non-transferable license to use Lead Savage-owned DFY deliverables within the Platform for the Client's internal business operations during the term of the applicable subscription. This license does not include the right to reproduce, redistribute, resell, sublicense, export, transfer, or duplicate Lead Savage-owned deliverables outside the Platform without Lead Savage's prior written authorization.
(d) Ownership Upon Termination. Upon expiration, cancellation, or termination of the Client's subscription, the Client's license to use Lead Savage-owned DFY deliverables terminates. Unless otherwise agreed in writing, Lead Savage is not obligated to provide copies, exports, snapshots, source files, configurations, workflows, automations, templates, or other Lead Savage-owned proprietary components during offboarding. Client-owned content and data remain the property of the Client and shall be handled in accordance with the applicable data access, export, retention, and deletion provisions of these Terms.
(e) Standalone Creative Deliverables. Ownership of standalone creative deliverables, including custom logos, advertising graphics, written copy, or other independently usable creative assets, shall be determined by the applicable written service agreement or statement of work. Unless expressly assigned to the Client in a written agreement signed by Lead Savage, Lead Savage retains any intellectual property rights it owns in such deliverables and grants the Client the usage rights expressly specified in the applicable agreement.
(f) Third-Party Intellectual Property. Nothing in this section transfers ownership of any third-party software, applications, licensed content, integrations, or technology. Such materials remain subject to the ownership rights, licensing restrictions, and terms of their respective providers.
(g) No Implied Transfer of Ownership. Except where expressly stated in a written agreement signed by an authorized representative of Lead Savage, no DFY service, payment, subscription, customization, or deliverable shall constitute an assignment or transfer of Lead Savage Intellectual Property. All rights not expressly granted to the Client are reserved by Lead Savage, subject to applicable law and Section 13 of these Terms.
10A.6 Fees and refunds. DFY Services fees are as stated in your order form and may be one-time or recurring. DFY Services fees are non-refundable as provided in Section 7, including where you delay or fail to provide materials needed to complete the work.
11. Payment Failures and Suspension
If a payment fails, we may retry it and may suspend your Account and Platform access if the balance remains unpaid. If a balance remains unpaid for ten (10) days, we may terminate your Account and delete or archive Client Content as described in Section 17. Suspension does not relieve you of the obligation to pay outstanding amounts.
12. Cancellation
You may cancel your Subscription at any time through the Platform, through our cancellation process, or by contacting support. Cancellation becomes effective at the end of your current billing cycle, and you will not be charged for the following cycle. Cancellation does not entitle you to a refund of any prepaid amount, unused wallet balance, DFY Services fee, or unused portion of a prepaid term. Cancelling a Subscription does not cancel an in-progress DFY engagement or relieve you of DFY fees owed. You are responsible for exporting your Client Content before cancellation takes effect (see Section 17).
13. Intellectual Property
13.1 Our IP. The Platform, the Lead Savage IP (including funnels, workflows, automations, templates, snapshots, and configurations we build or provide, including as DFY deliverables), our software, our brand and marks, and all underlying technology are owned by Lead Savage or our licensors (including the Underlying Platform Provider as to its platform). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform and Services for your internal business purposes, and to make the Services available to your own clients, during your Subscription. All rights not expressly granted are reserved.
13.2 Your Content. You retain ownership of your Client Content. You grant us and our service providers a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Client Content as necessary to provide the Services and as permitted by our Privacy Policy.
13.3 Departure, Offboarding, and What Transfers. If you choose to leave Lead Savage, then upon your written request made before cancellation, and provided all amounts owed are paid in full, Lead Savage will release your sub-account as a standalone account directly with the Underlying Platform Provider. This is the sole and exclusive method by which your account is transitioned away from Lead Savage. Only your Client Content (your original data, contacts, and materials) is included in that release. Lead Savage IP, including in-platform DFY deliverables, does not transfer, and may not be exported or duplicated, as part of any departure, consistent with Section 10A.5. Websites, funnels, automations, templates, and snapshots built by Lead Savage remain Lead Savage IP under Section 13.1, and your right to use them ends on termination. Lead Savage is under no obligation to release your account to any third-party agency, reseller, or platform other than as a standalone account provisioned directly to you. A reasonable administrative fee may apply to offboarding, as disclosed at the time of the request.
13.4 Feedback. If you provide suggestions, ideas, or feedback, you grant us an unrestricted, perpetual, royalty-free license to use it without obligation to you.
14. Acceptable Use
You agree not to use the Services to: (1) send unsolicited messages, spam, or unlawful communications; (2) send messages without proper consent under the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, A2P 10DLC requirements, Canada's Anti-Spam Legislation (CASL), or other applicable U.S. or Canadian law; (3) violate any individual's privacy or any applicable privacy law; (4) send content that is harassing, threatening, defamatory, fraudulent, obscene, or otherwise unlawful; (5) promote illegal activity or industries that violate carrier or Underlying Platform Provider policies; (6) reverse-engineer, decompile, or attempt to derive source code from the Platform or Lead Savage IP; (7) resell, sublicense, or provide the Services to third parties except as expressly permitted for your own clients under your Subscription; (8) use the Services to build or assist a competing product; (9) circumvent security measures, rate limits, or technical restrictions; or (10) upload viruses, malware, or harmful code. We may suspend or terminate Accounts engaged in prohibited activity.
In addition to the above, you and your users may not use the Services to create, store, or transmit any of the following, and any such use is a material breach for which Lead Savage may immediately suspend or terminate your Account and report unlawful content to the appropriate authorities:
Strictly prohibited (no exceptions): (a) child sexual abuse material or any content that sexually exploits or endangers minors; (b) sexually explicit or obscene content; (c) content that is hateful, harassing, threatening, or that incites violence; (d) content or activity that facilitates fraud, phishing, scams, malware, or unauthorized access to systems or data; (e) impersonation, disinformation campaigns, or the generation of fake reviews or fake grassroots support; and (f) any other content or activity that is illegal or that carries a high risk of economic or physical harm.
Restricted (prohibited unless approved by Lead Savage in writing in advance): (g) gambling or games of chance; (h) payday, short-term, or high-interest lending; (i) cryptocurrency mining, trading, or related offerings; (j) adult products or services; (k) regulated substances, firearms, or related products; (l) multi-level marketing or work-from-home income schemes; (m) debt collection or credit repair; (n) political campaigning, lobbying, or election-related messaging; and (o) any use involving automated decisions with legal or similarly significant effects on individuals (such as eligibility for credit, employment, housing, or insurance).
15. Third-Party Services and the Underlying Platform Provider
The Services depend on the Underlying Platform Provider (GoHighLevel) and other third parties, including communications carriers and payment processors. Lead Savage is not responsible for the availability, performance, security, pricing, or changes of these third-party services, or for interruptions they cause. Your use of the Services is also subject to the applicable third-party terms where they govern the underlying service. If a third-party service becomes unavailable or incompatible, we will use commercially reasonable efforts to provide an alternative but are not obligated to do so.
16. Client Compliance Obligations
16.1 You are the sender. When you use the Platform to send SMS, MMS, voice messages, or email to your customers and prospects, you, not Lead Savage, are the sender, initiator, and maker of those communications. Lead Savage is a technology and reseller platform only and does not determine the recipients, content, or timing of your communications. You are solely responsible for: (a) obtaining and maintaining valid, provable consent from every recipient as required by the TCPA, CAN-SPAM, A2P 10DLC, CASL, and applicable state or provincial law; (b) honoring opt-out requests (STOP, UNSUBSCRIBE) promptly and list-wide; (c) including required sender identity and opt-out disclosures; (d) scrubbing against applicable Do-Not-Call registries; and (e) completing any required A2P 10DLC registration for your campaigns.
16.2 Privacy roles. If you upload personal information about consumers to the Platform, you act as the "controller" or "business" and Lead Savage acts as the "processor" or "service provider" under applicable privacy laws. A separate Data Processing Addendum (DPA), incorporated into these Terms by reference, governs that relationship. By uploading personal information, you represent that you have provided all required notices, obtained all required consents, and have the legal right to process the data through the Platform.
16.3 Your downstream clients. If you provide Platform access to your own clients, you are responsible for their compliance with this Section and for their use of the Services, and you will require them to abide by terms at least as protective as these. Lead Savage's agreement is with you, not with your downstream clients.
16.4 Data subject requests and breach notifications. You are responsible for responding to data-subject rights requests from your customers and end users, and for making any legally required breach notifications, as further set out in the Data Processing Addendum. Lead Savage will provide reasonable assistance as described in the DPA.
16.5 Indemnity for your communications. You indemnify Lead Savage for claims arising from your communications or your processing of consumer data, as further described in Section 22.
17. AI Features and Acceptable Use
The Services may include artificial intelligence (AI) features. You acknowledge that AI output may be inaccurate, incomplete, or unsuitable for a given purpose, and does not constitute legal, financial, medical, or other professional advice. You are solely responsible for reviewing, verifying, and editing all AI-generated content before using, publishing, or distributing it, and you assume all risk associated with its use. You agree not to input sensitive personal information, protected health information, or other confidential information into AI features except as expressly permitted and supported by the Services. Where required by applicable law, you are responsible for disclosing to your customers and end users when they are interacting with an AI-based chat, voice, or messaging feature. You will not use AI features for any unlawful, deceptive, discriminatory, harassing, or infringing purpose, or in any jurisdiction that prohibits such use. You agree to indemnify Lead Savage for any claims arising from your use of AI features or the content they generate, as further described in Section 22. The AI features are provided "as is," and Lead Savage disclaims all warranties regarding their accuracy, reliability, or fitness for a particular purpose.
18. Domain Names
As part of the Services, Lead Savage may register, configure, or manage domain names on your behalf through third-party registrar and infrastructure providers. You are the registrant and owner of any domain registered for you, and Lead Savage acts solely as your administrative manager for that domain. You authorize Lead Savage to configure DNS, nameservers, and related settings as reasonably necessary to deliver the Services. Domains and related services may renew automatically, and applicable registration or renewal fees will be charged to you or deducted from your wallet; you are responsible for maintaining sufficient funds and a valid payment method to avoid loss of a domain through non-renewal. Lead Savage is not liable for any service disruption, including to email or website functionality, resulting from domain registration, transfer, DNS changes, or nameserver configuration, or for the loss of any domain due to your non-payment or your instructions. Domains Lead Savage manages for you are released or transitioned to you in accordance with the offboarding process described in Section 13.3, provided all amounts owed are paid in full. You are responsible for ensuring your use of any domain complies with these Terms and applicable law, and you will indemnify Lead Savage for claims arising from your domain or its use, as described in Section 22.
19. Data Retention on Termination
You are responsible for exporting your Client Content before your Subscription ends. Following termination, we will retain Client Content for seven (7) days to allow export, after which we may delete or archive it. We may retain limited records as required by law or for legitimate business purposes (such as financial records, dispute records, and security logs), which will not be accessible to you and will be handled under our Privacy Policy.
20. Call Recording
We may record sales, onboarding, and support calls between you and Lead Savage for quality assurance, training, recordkeeping, and dispute resolution. We provide notice at the start of such calls; by continuing the call, you consent to being recorded. If you do not wish to be recorded, tell us at the start of the call. See our Privacy Policy for details.
21. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING NUMBER OF LEADS, SALES, REVENUE, OR RANKINGS. YOU ACKNOWLEDGE THAT PORTIONS OF THE SERVICES DEPEND ON THE UNDERLYING PLATFORM PROVIDER AND OTHER THIRD PARTIES.
22. Indemnification
You agree to defend, indemnify, and hold harmless Lead Savage and its officers, directors, employees, contractors, and agents from any third-party claims, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (1) your use of the Services; (2) your Client Content; (3) your communications sent through the Services (including TCPA, CAN-SPAM, CASL, and CIPA claims); (4) your processing of personal information; (5) your use of AI features or the content they generate; (6) your domain names or their use; (7) your violation of these Terms or any law; (8) your violation of any third party's rights; or (9) the acts or omissions of your downstream clients in their use of the Services.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(1) Exclusion of Certain Damages. Lead Savage, including its owners, officers, employees, agents, affiliates, and service providers, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, anticipated savings, goodwill, data, or business interruption, arising out of or relating to these Terms or the use of, inability to use, or performance of the Services, even if Lead Savage has been advised of the possibility of such damages.
(2) Maximum Aggregate Liability. To the maximum extent permitted by applicable law, Lead Savage's total cumulative liability for all claims arising out of or relating to these Terms or the Services, regardless of the legal theory asserted, including contract, tort, negligence, or otherwise, shall not exceed the greater of:
(a) The total fees actually paid by the customer to Lead Savage during the three (3) months immediately preceding the event giving rise to the claim; or
(b) One Hundred United States Dollars ($100.00).
(3) Exceptions Required by Law. Nothing in this section excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, willful misconduct, or gross negligence where such limitation is legally unenforceable.
(4) Allocation of Risk. The parties acknowledge that these limitations represent a reasonable allocation of risk and are a fundamental basis of the agreement between the customer and Lead Savage. The pricing of the Services reflects this allocation of risk.
(5) Applicability. These limitations shall apply to the fullest extent permitted by applicable law, notwithstanding the failure of any limited remedy to achieve its essential purpose.
24. Limitation on Time to File Claims
Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within three (3) months after the event giving rise to the claim occurred, regardless of when you knew or should have known about it; otherwise, such cause of action or claim is permanently barred, except where a shorter limitations period is prohibited by applicable law.
25. Injunctive Relief
You agree that a breach or threatened breach of these Terms relating to Lead Savage's intellectual property, confidential information, or the restrictions on use of the Services would cause irreparable harm to Lead Savage for which monetary damages would not be an adequate remedy. Accordingly, Lead Savage is entitled to seek injunctive or other equitable relief to prevent or stop such breach, in addition to any other remedies available at law or under these Terms, without the necessity of posting a bond or other security, and without waiving the arbitration provisions of Section 26 as applied to claims for monetary damages.
26. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
26.1 Informal resolution. Before initiating a formal dispute, you and Lead Savage agree to first try to resolve it informally by emailing [email protected] with a written description. If not resolved within thirty (30) days, either party may proceed under this Section.
26.2 Binding arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. This arbitration provision is governed by the Federal Arbitration Act. The legal seat of arbitration shall be Gwinnett County, Georgia, United States. Hearings may be conducted remotely where permitted by the applicable AAA rules and authorized by the arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
26.3 Class action waiver. YOU AND LEAD SAVAGE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any representative proceeding.
26.4 Carve-outs. Either party may bring (a) an individual action in small claims court, or (b) a court action seeking injunctive or equitable relief for infringement or misappropriation of intellectual property.
26.5 30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within thirty (30) days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your name, business name, and a clear statement that you want to opt out. Opting out does not affect any other provision.
27. Governing Law, Venue, and International Clients
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Subject to Section 26, any action not subject to arbitration must be brought exclusively in the state or federal courts located in Gwinnett County, Georgia, and the parties consent to personal jurisdiction and venue there.
International Clients and Dispute Resolution. These Terms, including the provisions concerning governing law, arbitration, and venue, apply equally to all Clients regardless of their country, province, state, or territory of residence or business registration, including Clients located in Canada. Unless otherwise expressly agreed in writing, all disputes arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, and resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with the applicable arbitration rules. The legal seat of arbitration shall be Gwinnett County, Georgia, United States. Hearings may be conducted remotely where permitted by the applicable arbitration rules and authorized by the arbitrator. Nothing in this provision shall exclude or limit rights or remedies that cannot lawfully be waived under applicable mandatory law. Any exception to these dispute-resolution provisions must be expressly agreed upon in writing by an authorized representative of Lead Savage.
28. Term and Termination
These Terms remain in effect while you use the Services. Provisions that by their nature should survive termination will survive, as described in Section 29.
28.1 Grounds for termination. You agree that Lead Savage, in its sole discretion, may suspend or terminate your access to the Services, in whole or in part, for violation of these Terms or for nonpayment, with or without notice, and without liability to you or any third party.
28.2 Suspension for suspected misconduct. Lead Savage may suspend or terminate your access to the Services, in whole or in part, in its sole discretion and with or without notice, if it suspects fraudulent, abusive, or illegal activity on your Account, or a violation of these Terms, without liability to you or any third party. Lead Savage may report suspected unlawful activity to the appropriate authorities.
28.3 Inactive accounts. Lead Savage may suspend or delete an Account that has no active paid Subscription and has remained inactive for ninety (90) days or more. Where practicable, Lead Savage will provide notice before deletion. Deletion of an inactive Account is handled in accordance with the data-retention provisions of Section 19.
28.4 Effect of termination. Upon termination, your right to use the Services ceases immediately. Client Content is handled as described in Section 19. Termination does not relieve you of amounts owed through the effective date of termination.
29. Force Majeure
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, third-party or Underlying Platform Provider outages, or labor disputes.
30. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
31. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting notice in the Platform or on our website at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
32. Notices
We may provide notices to you by email to the address on your Account or by posting in the Platform or on our website. You may send notices to us at [email protected], or by mail to: Lead Savage, LLC, ATTN: Legal Department, 115 E Main St. - Ste. A1B-9H, Buford, GA 30518.
33. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy, any DPA, and any order form or statement of work, are the entire agreement between you and Lead Savage and supersede prior agreements on the same subject.
Severability. If any provision is unenforceable, the remaining provisions remain in effect.
Waiver. Failure to enforce a provision is not a waiver of it.
No third-party beneficiaries. These Terms create no third-party beneficiary rights, including for your downstream clients.
Independent contractors. The parties are independent contractors; nothing here creates a partnership, joint venture, agency, or employment relationship, and nothing makes Lead Savage a party to any agreement between you and your downstream clients.
Survival. Provisions that by their nature should survive termination (including Sections 6-8, 10A.5-10A.6, 13, 14, 16-19, and 21-27) will survive.
Headings. Headings are for convenience only.
34. Consent and Agreement
By purchasing Services from Lead Savage or accepting these Terms at checkout or during onboarding, you confirm that you have read, understood, and agree to these Terms; you accept the No Refund policy (Section 7); you agree not to initiate chargebacks for Services rendered (Section 8); and you agree to the binding arbitration agreement and class action waiver in Section 26, subject to your 30-day right to opt out.
